SUPPORT AGREEMENT

TERMS AND CONDITIONS
A. Payments. All monthly or quarterly regular payments and all payments for extended services at $90.00 per hour under this plan will be due within 10 days of receipt of invoice. Invoices for regular monthly or quarterly payments will be in advance of the period in which the services will be provided. B. Additional services. All services beyond those specifically covered under this support plan will be charged according to the attached Time and Materials rate schedule. C. Software Rights. Nothing in this support agreement shall convey any ownership, marketing or usage rights to the customer. D. Software License. The customer agrees as a condition of this support agreement to abide by all terms of existing software licenses for both application and data base management software. Furthermore, if no license agreement has been executed previously between the customer and PALDOM, then the customer shall execute a license agreement for the software provided by PALDOM, for which PAL is the owner, as a condition of this support plan. E. Termination. The support plan may be terminated by either party with written prior notice of 30 days for plans billed monthly and 90 days for plans billed quarterly. F. Unused Services Do Not Carry Forward. Services described in this plan with visit, monthly or annual limits per time period do not accumulate to the next period. For example, if only one-half hour of phone support is used in one month, then the unused one-half hour is lost, it does not carry forward to the next month. Acceptance The terms and conditions of the Systems Support Plan are hereby accepted by the undersigned. The plan commences on __________________ and terminates on _________________.
